Delivery Hero welcomes new Supervisory Board Member at 2025 Annual General Meeting

• All Supervisory Board nominations approved by shareholders
• Large shareholder majority for all resolution proposals presented by Delivery Hero

Berlin, June 18, 2025 – Delivery Hero SE ("Delivery Hero" or the "Company"), the world’s leading local delivery platform, welcomed Judith Jungmann to its Supervisory Board at its 2025 Annual General Meeting (AGM) today.

The Company additionally bid farewell to its long-standing Supervisory Board member, Dr. Martin Enderle, who was first appointed as Supervisory Board chair in 2017. Dr. Enderle had announced his resignation at Delivery Hero’s 2024 AGM, subject to a full transition of his duties to the Supervisory Board’s current chair, Kristin Skogen Lund.

With Dr. Enderle’s resignation and the terms of two Supervisory Board members expiring, the AGM resolved on the new composition of the Supervisory Board as follows:

Newly elected Member of the Supervisory Board:

• Judith Jungmann, Chief Human Resources Officer at Beckers Group, was newly elected to the Supervisory Board as a shareholder representative. Her term will run until the conclusion of the AGM that resolves on the discharge for the 2026 financial year. Judith Jungmann’s curriculum vitae is available here.

Re-elected Members of the Supervisory Board:

• Scott Ferguson, Founder, Managing Partner and Portfolio Manager at Sachem Head Capital Management LP, was re-elected as a shareholder representative. • Dimitrios Tsaousis, Fleet Operations Supervisor at Go Delivery S.A. (a Greek subsidiary of Delivery Hero SE), was re-appointed as an employee representative. His term will continue until the conclusion of the AGM that resolves on the discharge for the 2027 financial year. Christos Ntikos, a delivery driver for efood (a Greek subsidiary of Delivery Hero SE), was appointed as a substitute member for Dimitrios Tsaousis. Delivery Hero’s Supervisory Board is composed of eight members and advises and supervises the Company’s Management Board.

The Annual General Meeting also approved all other resolution proposals presented by the Management Board and Supervisory Board by a large majority. These included discharging the Management Board and Supervisory Board for the 2024 financial year, appointing KPMG AG as an auditor for the 2025 financial year, approving the 2024 financial year remuneration report, and renewing authorizations for virtual general meetings, as well as various capital measures. Shareholders also approved a domination agreement and a profit and loss transfer agreement between Delivery Hero SE and Delivery Hero MENA Holding GmbH.

The Annual General Meeting was held virtually, with shareholders able to exercise their rights via the Company's online investor portal.
