Fourcore Tech Finance Ltd: Delay in interest payment on 10% corporate bond; negotiations with creditors

London, United Kingdom, 27 February 2025 – Fourcore Tech Finance Ltd (formerly: Cardea Luna Capital Partners Ltd) ("Company") announces that it will not pay the interest due on 28 February 2025, on its 10% corporate bond (ISIN DE000A3K5H67; WKN A3K5H6) on 28 February 2025. However, the interest due will be paid at the latest within the period of 30 days in accordance with Section 9 (1) (a) of the bond conditions.

In order to secure the payment within the aforesaid time period, the Company is negotiating a deferral agreement with selected major creditors whereby the maturity of the interest for these creditors shall be postponed. In addition, negotiations are being held with these creditors on the exchange of their bonds for bonds with an interest rate of 10.25% and a maturity on 16 September 2029, also issued by the Company (ISIN DE000A3L2B98; WKN A3L2B9) and the exchange ratio.

The Company will inform the capital market and the public about further developments in accordance with legal requirements.
