AGRI RESOURCES GROUP calls Noteholders’ meeting for vote in favor of certain amendments to the terms and conditions of the 2021/2026 Notes to facilitate strategic repositioning

Luxembourg,  27 February 2024 - The Management of AGRI RESOURCES GROUP S.A., Luxembourg (Company), informs Noteholders of its EUR 50 million 2021/2026 Notes (ISIN DE000A287088 / WKN A28708) (the “Notes”) that it will convene a noteholders’ meeting and invite the holders to vote in a vote without meeting within a period commencing on 13 March 2024 (0:00 CET) and ending on 15 March 2024 (24:00 CET) on an extension of the maturity of the 2021/2026 Notes by two years (i.e. until March 2028) and an adjustment to the interest payment modalities (i.e. conversion to PIK interest instead of regular interest payments) as well as to remove certain termination rights, covenants and undertakings which are perceived as being too restrictive to facilitate the Company’s new business strategy going forward.
