Ad hoc announcement pursuant to Art. 53 LR
Zurich, 13 June 2025 – The two commercial property funds Helvetica Swiss Commercial Fund (HSC Fund) and Helvetica Swiss Opportunity Fund (HSO Fund), managed by the fund management company Helvetica Property Investors, will be merged on 20 June 2025.
- Conversion ratio: 1 HSO fund share will be converted to 0.8967 HSC fund shares,
with the difference being paid in cash
- NAV per share for the HSC Fund as of 30 April 2025: CHF 106.78
- NAV per share for the HSO Fund as of 30 April 2025: CHF 95.76
As previously announced, the HSC Fund and the HSO Fund are to be merged (see press release dated 28 February 2025). The merger will take place on 20 June 2025 with retrospective effect from 30 April 2025, with the first trading day of the merged property fund on 23 June 2025. The audited conversion ratio is based on the valuation (NAV) as of 30 April 2025.

Merged HSC Fund
The HSO Fund (SIX ticker symbol: HSO; ISIN CH0434725054) is the transferred fund in the merger and the HSC Fund (SIX ticker symbol: HSC; ISIN CH0335507932) the acquiring fund. The merged fund will be called the HSC Fund (SIX ticker symbol: HSC; ISIN CH0335507932).
The merged HSC Fund will include 36 properties with a value of around CHF 747 million. It will invest in purely commercial property in predominantly suburban, high-growth and well-connected locations in German- and French-speaking Switzerland. The usage types include commercial, production, light industrial, office and retail. The focus is on long-term value preservation and stable distributions.
The aim of the merger is to offer investors a broadly diversified commercial property fund with greater liquidity, improved tradeability and more efficient management.
